General Terms and Conditions (B2B)
Scope
These General Terms and Conditions apply to all business relationships between Huiskamergeluk v.o.f., trading under the brand Blossify (hereinafter referred to as the "Seller") and its customers.
These Terms and Conditions apply exclusively to entrepreneurs (B2B customers).
These Terms and Conditions govern cooperation with our business customers and establish a clear and transparent basis for your orders.
The current version of these Terms and Conditions is available on our website at www.blossify.com under the section "Terms and Conditions".
Any differing terms and conditions of the customer shall not be recognized unless their validity has been expressly agreed in writing.
Conclusion of Contract
The presentation of products in the online shop does not constitute a legally binding offer, but rather a non-binding online catalogue.
By placing an order, the customer submits a binding offer to conclude a purchase contract.
The confirmation of receipt of the order is issued immediately after the order is placed and does not yet constitute acceptance of the offer.
The contract is only concluded upon an explicit order confirmation by email or by dispatch of the goods within five working days.
The Seller reserves the right to reject orders without stating reasons.
Delivery
The Seller delivers goods in stock within approximately five working days via DPD.
Delivery is made to the delivery address specified by the customer during the ordering process.
Unavailable Items
Offers made by the Seller are subject to change and non-binding.
If an ordered item is not available after conclusion of the contract, the Seller is entitled to withdraw from the contract. In such a case, the customer will be informed immediately and any payments already made will be refunded without delay.
Further claims by the customer are excluded.
Shipping Costs
Shipments to the Netherlands: EUR 12.50 flat rate; free shipping from EUR 300.
Shipments to Germany and Belgium: EUR 17.50; free shipping from EUR 300.
Shipments to Austria, Denmark, France and Luxembourg: EUR 25.00; free shipping from EUR 500.
Other countries:
Sweden, Finland, Spain: EUR 35.00
Poland, Italy: EUR 40.00
Portugal, Czech Republic, Slovakia, Ireland, United Kingdom: EUR 45.00
Greece: EUR 60.00
Switzerland: EUR 75.00 for the first package, EUR 25.00 for each additional package up to 30 kg
Payment and Prices
Payment shall be made in advance.
The following payment methods are available: SEPA bank transfer, instant payment, or credit card payment.
Goods will only be dispatched after full payment has been received, unless otherwise expressly agreed.
All prices are net prices in Euro, excluding statutory VAT and any applicable shipping costs.
For intra-Community supplies to business customers with a valid VAT identification number, no VAT will be charged in accordance with the reverse charge procedure. A valid VAT identification number must be provided.
Warranty
The statutory warranty provisions apply, subject to the condition that the customer is obliged to inspect the goods immediately upon delivery.
Obvious defects must be reported in writing without delay, at the latest within five working days from delivery.
Hidden defects must be reported in writing without delay after discovery, at the latest within fourteen days.
In the event of late notification, the goods shall be deemed approved.
Claims for defects shall become time-barred 12 months after delivery.
Normal wear and tear does not constitute a warranty claim.
Liability
The Seller shall be liable without limitation in cases of intent and gross negligence.
In cases of slight negligence, the Seller shall only be liable for breaches of essential contractual obligations (cardinal duties) and limited to the foreseeable, typical damage.
Otherwise, liability for slight negligence is excluded, subject to the foregoing provision regarding essential obligations.
Liability for injury to life, body or health remains unaffected.
Set-off
The customer may only offset claims if such claims are legally established, undisputed, or acknowledged in writing by the Seller.
Retention of Title
The goods remain the property of the Seller until all claims arising from the business relationship have been fully paid.
Copyright
All content published on the website (texts, images, graphics, etc.) is subject to copyright.
Any use, in particular reproduction, processing or distribution, requires the prior written consent of the Seller.
Applicable Law and Jurisdiction
The law of the Kingdom of the Netherlands shall apply, excluding the UN Convention on Contracts for the International Sale of Goods (CISG).
The place of jurisdiction for all disputes arising from or in connection with this contract is Zutphen, to the extent permitted by law.
The contract language is Dutch, German or English. In case of doubt, the Dutch version shall prevail.
